Terms of Use
The conditions, responsibilities, and risks that apply when you access or use BaseStocks.

Agreement
These Terms of Use form an agreement between you and BaseStocks ("we," "us," or "our"). They govern your access to basestocks.fi, the BaseStocks interface, and any related pages we operate.
By connecting a wallet, signing a transaction, or otherwise using the interface, you accept these Terms. If you do not accept them, do not use the interface.

About BaseStocks
BaseStocks is an interface to public smart contracts deployed on Base, an Ethereum layer-2 network. It lets you create fixed-supply tokens, pair them with liquidity, and trade them through decentralised exchanges.
We publish an interface. We do not operate an exchange, hold client funds, match orders, or act as broker, dealer, or intermediary in any transaction you carry out.

Eligibility
You must be at least 18 years old and legally able to enter into this agreement. You must not be subject to sanctions, nor located in a jurisdiction where using this interface would breach applicable law.
You are responsible for knowing the rules that apply where you are. We may restrict access to the interface from any jurisdiction, at any time, without notice.

Noncustodial interface
BaseStocks never takes custody of your assets. Tokens and funds remain in your wallet, under keys we neither hold nor can recover.
Because we hold nothing, we can reverse nothing. We cannot cancel a confirmed transaction, restore a lost key, recover assets sent to a wrong address, or move anything out of your wallet.

Wallets and account security
There is no account, password, or sign-up on BaseStocks. Your wallet is your identity, and its security is entirely yours to maintain.
- Use wallets and devices you trust, and keep their software current.
- Never share a seed phrase or private key. We will never ask for one.
- Read every signature request before approving it, including on pages that look familiar.
- You accept responsibility for anything authorised through your wallet.

Transactions
Every action that touches the blockchain is submitted by your wallet and signed by you. The interface prepares a transaction and shows you what it does; approving it is your decision alone.
Once broadcast, a transaction settles according to network rules. It may succeed, fail, or be delayed, and it may execute at a price different from the estimate shown. Network fees are owed whether or not a transaction succeeds.

Token launches and content
Anyone can launch a token through the interface. A launch is a permissionless act: we do not review, approve, endorse, or vet the tokens that appear, nor the people who create them.
Tokens created through BaseStocks have a fixed supply set at deployment. They carry no transfer tax, no blacklist, no pause switch, and no function to mint further supply. These properties are enforced by the token contract itself, not by us.
A name, symbol, image, or description chosen by a creator says nothing about the value or legitimacy of a token. Names can imitate real companies, projects, or people.

Trading and liquidity
Trades route through third-party decentralised exchange contracts on Base. Prices come from the liquidity in those pools and can move sharply between the moment you see a quote and the moment your transaction settles.
Slippage tolerance limits how far a price may move before your transaction reverts. Setting it high increases the chance a trade completes at a price much worse than quoted.
Liquidity provided at launch is locked in position, which prevents its withdrawal but does not guarantee a market, a price, or the ability to sell at any given moment.

Risk disclosures
Trading tokens is high risk. You should be prepared to lose everything you commit.
- Token prices are volatile and a token may become worthless or untradeable.
- Smart contracts may contain flaws, including in code we did not write and do not control.
- A creator may abandon a project, or act against the interests of holders.
- Networks can congest, halt, reorganise, or change in ways that affect settlement.
- Blockchain transactions are final; there is no chargeback and no dispute process.

Fees and taxes
Trading through a liquidity pool incurs a pool fee, set by the pool and paid to it. Fees accrued to a token position are split between the token creator and the protocol, in a proportion fixed at launch and visible on each token page.
Network fees are paid to Base validators, not to us, and vary with network conditions.
You are solely responsible for determining and paying any taxes arising from your activity. We do not provide tax advice and do not report on your behalf.

Acceptable use
You agree not to use the interface to:
- Break any law, or evade sanctions or regulatory obligations.
- Manipulate a market, including through wash trading or coordinated deception.
- Impersonate a person, company, or project, or infringe anyone rights.
- Attack, overload, probe, or interfere with the interface or its infrastructure.
- Scrape or access the interface by automated means that degrade it for others.
- Launder proceeds of crime or finance illegal activity.

Material interests and conflicts
We may hold tokens launched through the interface, including our own, and we receive a share of the fees accrued to launched positions. Our interests may therefore differ from yours.
Nothing on BaseStocks is a recommendation. Ordering, ranking, and presentation of tokens follow mechanical rules such as recency, market capitalisation, or volume, and are not judgements of quality.

Transaction and activity limits
We may apply limits to protect the interface or its users, including rate limits, caps on request volume, and restrictions during a launch window that limit purchases per wallet for a short period.
These limits are properties of the interface or the launch contracts. They are not guarantees against manipulation, and they may change without notice.

Third-party services
The interface depends on services we do not control: Base network infrastructure and RPC providers, decentralised exchange contracts, wallet software, price and indexing providers, and content storage such as IPFS.
Their availability, accuracy, and terms are theirs, not ours. A failure or change in any of them may make the interface unavailable or cause it to display stale or incorrect information.

Intellectual property
The BaseStocks name, logo, interface design, and text are ours or licensed to us. You may use the interface as intended; you may not copy its design or branding, or present another service as ours.
Nothing here grants rights in the third-party open-source contracts and libraries the interface relies on, which carry their own licences.

Submitted content
When you post to the forum, name a token, upload an image, or set social links, you confirm you have the right to do so and that the content breaks no law and infringes no rights.
You grant us a non-exclusive, worldwide, royalty-free licence to host and display that content in the interface. You keep ownership of it.
We may remove content or restrict access to it, at our discretion, without notice. Content published to a blockchain, however, is beyond our reach and cannot be removed by us.

Feedback
If you send us suggestions or ideas about the interface, we may use them without restriction, attribution, or payment. Do not send us anything you consider confidential.

Service availability
The interface is provided as it stands. We may change, suspend, or discontinue any part of it at any time, without notice and without liability.
The contracts on Base are independent of this interface. If BaseStocks becomes unavailable, deployed tokens and locked positions continue to exist on the network and remain reachable by other means.

No warranties
The interface is provided "as is" and "as available", without warranty of any kind, express or implied, including fitness for a particular purpose, merchantability, non-infringement, accuracy, or uninterrupted operation.
We do not warrant that information shown — prices, balances, market data, holder counts, or security indications — is accurate, complete, or current.

Limitation of liability
To the fullest extent permitted by law, we are not liable for lost profits, lost tokens, lost opportunity, or any indirect, incidental, special, consequential, or punitive damages arising from your use of the interface.
Some jurisdictions do not allow certain exclusions, in which case those exclusions apply only as far as the law permits.

Indemnification
You agree to indemnify and hold us harmless from claims, losses, and expenses, including reasonable legal fees, arising from your use of the interface, your content, or your breach of these Terms or of applicable law.

Termination and restriction of access
We may restrict or terminate your access to the interface at any time, for any reason, without notice.
Restricting access to the interface does not affect your wallet, your tokens, or your ability to interact with the underlying contracts directly.

Governing law and dispute resolution
Before starting any formal proceeding, you agree to contact us and attempt in good faith to resolve the dispute informally.
The governing law and forum for any dispute are those of the jurisdiction in which the operator is established. Nothing here removes a right you hold as a consumer under the mandatory law of your country of residence.

General terms
These Terms are the entire agreement between us regarding the interface. If any provision is held unenforceable, the rest remains in force.
Our failure to enforce a provision is not a waiver of it. You may not assign this agreement; we may assign it in connection with a transfer of the service.

Changes to these Terms
We may revise these Terms. The effective date at the top identifies the current version.
Continuing to use the interface after the effective date means you accept the revised Terms. If you do not accept them, stop using the interface.
